Locations: Remote, UK or Europe

Time type: FTC (12-15months, Maternity cover)

The Omegro ROW legal team support businesses which are based across Canada, the US, UK, EMEA and Singapore. As a junior/intermediate member of a small legal team, you will be exposed to a range of commercial and corporate (M&A) work and your contributions will have direct impact on the businesses you support.

Role

Your role will report to Claire Campbell the Omegro ROW Legal Counsel, and you will be a key member in a small legal team supporting the operational needs of a number of IT/software businesses, as well as assisting the wider portfolio in their acquisitive expansion.

 

Duties

The role will support both operational and transactional (M&A) areas. This means that, at any time, you are likely to be working on the following:

  • Reviewing/negotiating customer-facing contracts, including software-as-a-service agreements, master service agreements and professional services agreements (whether on vendor, or customer paper) and contract management
  • Reviewing and advising on legal terms related to RFP submissions
  • Reviewing/negotiating supplier contracts, ranging from mission-critical suppliers to standard form customer contracts
  • Supporting advisory work on a range of business-related areas, such as intellectual property protection (as relevant to software companies), corporate administration, employment law matters and compliance matters
  • Helping legal ops run smoothly, including contract management, developing training materials, writing policies/procedures
  • Negotiating transactional NDAs ahead of an acquisition
  • Supporting your colleagues with legal due diligence and transactional documents

 

There is scope for the role to reflect the unique experiences and skill set to best suit the successful candidate.

 

Team & workplace

You will be a key member of a small remote legal team. You will interact directly with the businesses that your team supports, which are located across Canada, the US, UK, EMEA and Singapore. Your stakeholders comprise emerging and experienced businesspeople, who will look to you and the team for relevant, timely and practical advice. They are focused and forward thinking, and value similar qualities in their legal team.

 

Desired skills

Our ideal candidate would be able to demonstrate the following:

  • Good understanding/experience in commercial and corporate law in your jurisdiction
  • Understanding/experience in privacy laws and data security
  • Interest and/or experience in IT, software, and technology law would be highly beneficial
  • Experience of software licensing contracts, together with SaaS, IaaS, PaaS etc.
  • Skills consistent with 2 to 5 years post-qualification experience – however, this is not a requirement. We understand that experience does not always accumulate with PQE.
  • Ability to meet the duties outlined above reliably and consistently
  • The aptitudes outlined below

The role would be suited to someone with good business acumen who can work remotely, independently and juggle multiple priorities. The ability to quickly adjust to different priorities is important as is the ability to execute consistently on business-as-usual tasks.

 

Strong interpersonal and communication skills to facilitate internal and external collaboration across multiple jurisdictions and stakeholders.

 

Requirements

The role is an in-house legal role, so you will need to hold a law degree and be permitted to work as a solicitor in your jurisdiction. You will also need to have the right to work in the UK or Europe, as well as a suitable remote working set up.
